Polaris Landscape Inc. — Service Terms & Conditions Effective September 24, 2026 Version 2026-09-24 1. Agreement and acceptance These Service Terms & Conditions (“Terms”) govern the service agreement between Polaris Landscape Inc. (“Polaris,” “we,” or “us”) and the customer identified in the accepted Jobber proposal or other signed service agreement (“Customer” or “you”). Our service area is Illinois. They cover only the services you purchase, which may include landscape maintenance, lawn mowing, fertilizer and weed control, snow and ice services, landscape construction, planting, enhancements, and related landscape work. A service agreement consists of your accepted proposal or service contract, its expressly incorporated attachments and site plan, approved change orders, and the specific version of these Terms supplied or linked before acceptance. An inquiry, website visit, or request for an estimate does not create a service agreement or reserve a date. Our standard process is a proposal sent through Jobber and signed by the Customer. The proposal must identify and provide access to these Terms before signature. Any alternative acceptance process must be agreed in writing and clearly identify the documents accepted. Required statutory notices and cancellation rights continue to apply. You represent that you own the property or have authority to authorize the work and bind the named Customer. An individual signing for an organization does not become a personal guarantor merely by signing in that role. If authority is unclear, we may request confirmation before scheduling work. 2. Document priority and changes to these Terms Applicable law controls. Subject to that requirement, a later change order signed or expressly approved by both parties controls the matters it changes, followed by a signed service-specific agreement, the accepted proposal and its attachments, and then these Terms. A document overrides another only to the extent of a direct conflict. Customer purchase-order or vendor-portal terms do not modify our agreement unless Polaris expressly accepts them in writing. The version accepted with your agreement remains the applicable version for that agreement. Posting revised terms on the website does not retroactively amend existing contracts. Material changes require the notice and agreement applicable to the contract and the law. 3. Scope, estimates, and additional work We undertake the work expressly listed in the accepted scope. General service descriptions, photographs, conversations about possibilities, and examples on our website do not add work, performance standards, or guarantees to your proposal. The proposal should identify the property, service areas, exclusions, quantities or allowances, pricing basis, and any recurring schedule. An estimate remains open for the period stated in it. If no expiration is stated, availability and pricing must be confirmed before acceptance. A budget allowance is not a fixed price for unspecified work. Unit-priced and time-and-materials work is charged under the agreed rates and measurement method. Changes to service areas, materials, access, quantities, or requested work require a written change order describing the price or pricing method and any schedule effect. We may pause the affected work until approval. Additional charges for ordinary work require your approval or a clearly stated preauthorized rate and circumstance in the agreement. Crew members and subcontractors cannot independently change the contract unless Polaris has designated them to do so. 4. Customer access and site preparation Provide safe access to the agreed work areas, access codes and gate arrangements, and any water, power, staging, parking, or disposal access specified in the proposal. Before service, remove vehicles, loose objects, hoses, toys, pet waste, and other movable obstructions. Secure pets and keep people away from active equipment, materials, and restricted work areas. Tell us about access restrictions, sensitive surfaces, security procedures, and scheduled activities that could affect the work. Identify property boundaries, easements, known hazards, irrigation components, invisible pet fences, drains, septic systems, shallow lines, and other concealed improvements you know about. Do not authorize work on neighboring land without permission. Your information does not replace required surveys, inspections, utility locating, or our legal duties. If access is unavailable or a condition makes service unsafe, we may omit the affected area or reschedule it and notify you. A return-visit, standby, cleanup, or access charge applies only if disclosed in the accepted agreement or separately approved. Customer-caused delay may extend the schedule and require an approved adjustment for resulting costs. 5. Underground utilities, permits, and concealed conditions For excavation, the responsible excavator must follow the applicable locating and safe-digging requirements, including the appropriate one-call system. Customer markings and a general release do not replace those obligations. Public utility locating may not identify privately owned lines. The proposal should identify who arranges private locating and pays for it; tell us about known private facilities and provide available records before work starts. The proposal must allocate responsibility for permits, surveys, engineering, inspections, HOA approvals, and related fees. We do not perform work that legally requires an approval before that approval is in place. Responsibility for obtaining an approval does not authorize either party to disregard applicable law. Our price assumes the conditions described in the proposal and reasonably observable at the assessment. Buried debris, rock, contaminated material, unstable soils, concealed structures, unidentified utilities, or materially different conditions may require investigation or additional work. We may stop the affected work, protect the site as reasonably necessary, and propose a change order. Hazardous-material testing and remediation are excluded unless expressly included and lawfully performed. 6. Scheduling and events beyond reasonable control Unless the agreement expressly identifies a firm commitment, service dates and completion windows are estimates. Weather, saturated or frozen ground, utility responses, inspections, site access, material availability, and approved changes may affect timing. We may adjust routes or postpone work when proceeding would be unsafe, unlawful, or likely to damage the property, while communicating material schedule changes. Neither party is responsible for delay to the extent caused by an extraordinary event beyond its reasonable control that it could not reasonably prevent or overcome. The affected party must give reasonably prompt notice, take reasonable steps to limit the impact, and resume performance when practicable. This provision does not excuse payment for work properly completed or convert ordinary seasonal weather, foreseeable snowstorms, or routine staffing and equipment needs into a blanket excuse for nonperformance. Any prolonged interruption will be addressed under the agreement or a written adjustment between the parties. 7. Prices, deposits, and payment Residential service payments are due upon completion of the service or visit being billed, unless a different payment schedule is expressly agreed in the signed proposal. Project deposits and any expressly agreed progress payments remain due at the stages identified in the proposal; the remaining residential balance is due at completion unless otherwise agreed. Commercial payment deadlines are stated in the signed proposal. The accepted Jobber proposal establishes the price, taxes or other disclosed charges, deposit, billing frequency, and any variation from these payment terms. Those details must be completed before acceptance. Projects requiring a deposit will not be scheduled to begin until the agreed deposit and required approvals are received. A deposit is applied to the agreed contract price. Progress payments correspond to the milestones or billing periods stated in the agreement; paying a deposit does not create a guaranteed service date unless the agreement says so. Pay undisputed amounts by the agreed due date. Raise an invoice concern promptly, with enough detail for us to investigate. An inquiry does not suspend unrelated, undisputed charges. Nothing here removes a lawful right to withhold payment, dispute an error, or use a legally protected payment remedy. Residential customers must maintain a valid payment card on file through our designated payment processor while service remains active and until outstanding authorized charges are resolved, subject to applicable payment rights. A separate payment authorization must disclose when and how the card will be charged. Keeping a card on file is not permission for unapproved work, undisclosed fees, or unrestricted charges. If a card expires or a charge fails, provide an updated payment method promptly; a failed payment does not erase a valid invoice. Polaris may suspend future service after the notice described below. Card information should be entered through the secure payment process, not sent in a general message. Finance charges, returned-payment charges, and processing fees apply only if their amount or calculation was disclosed and agreed before the obligation arose, and only to the extent allowed by law. These Terms do not independently authorize a rate or an automatic charge to a stored payment method. Any recurring payment authorization must separately identify its applicable amounts, timing, and cancellation method. 8. Nonpayment, collection, and lien rights If an undisputed payment is overdue, we may give written notice identifying the balance, the opportunity to cure, and the date on which future work may be suspended or the agreement terminated. Any agreed notice period and applicable law control. We will account for reasonably foreseeable safety consequences when suspending active work, including snow service; suspension is not a substitute for the required notice and handoff of site responsibilities. To the extent enforceable, the Customer is responsible for reasonable collection costs and attorney fees actually incurred in recovering amounts finally determined to be due, subject to any statutory fee rules, court review, or agreed dispute procedure. This provision does not penalize a good-faith exercise of consumer rights. Polaris reserves only those mechanic’s lien and other payment remedies that applicable law actually provides. A website term does not itself create a lien. Required notices, sworn statements, waivers, and filing deadlines must be observed. We do not reserve a right to enter the property without permission to remove installed improvements as a collection tactic. 9. Cancellation, suspension, and termination All nonwaivable cancellation and refund rights control over this section. Any required cancellation notice or form must be supplied separately when the law requires it. A general statement in these Terms does not replace that document. Either party may cancel future service at any time and for any reason by written notice through Jobber or by mail to Polaris Landscape Inc., 670 Vandustrial Dr, Westmont, Illinois, unless the signed proposal identifies another approved channel. Cancellation takes effect when notice is received, subject to any mandatory legal requirements. No minimum remaining service term or automatic early-termination penalty is created by these Terms. Cancellation does not erase payment obligations already earned or authorize an unsafe abandonment of active work. If the Customer cancels after paying a deposit, Polaris will prepare an itemized calculation of fair compensation for work and time already provided, project-specific planning and logistics already performed within the agreed scope, and reasonable, documented, nonrecoverable commitments made for the project before cancellation. Amounts are calculated under the agreed rates or pricing basis, with credits for unused materials that can reasonably be returned or reused, supplier refunds, avoided costs, and prior payments. We will not recover the same cost twice or retain compensation for future work that will not be performed. Deposit deductions may not exceed what the agreement and applicable law permit; any unused balance will be refunded promptly within the legally required period, if one applies. If Polaris cancels for convenience, we will account for work properly completed and return the remaining unearned deposit. Any further claim by either party remains subject to the agreement and applicable law. Polaris will communicate the effective end of service and reasonably address site protection or handoff needed to avoid creating an unsafe condition. A fixed-season contract may price reserved capacity and seasonal obligations rather than individual visits. If that arrangement applies, its fee, included work, limits, payment schedule, and cancellation consequences must be stated clearly in the signed seasonal agreement. A low-snow season alone does not change a properly agreed fixed seasonal price for a period of service and capacity actually provided; failure to perform agreed obligations is a separate issue. This does not remove either party’s cancellation right above or make all future seasonal installments immediately payable after cancellation. We may suspend immediately where reasonably necessary to address imminent danger, unlawful conditions, threats, or serious interference with safe operations. For a remediable material breach, we may also issue a written notice identifying the problem and an opportunity to correct it before exercising a suspension remedy. That process does not remove either party’s right to cancel future service above. Amounts properly earned before termination remain payable. Obligations intended to survive, including accrued payment obligations and applicable dispute provisions, survive only as permitted by law. 10. Recurring service and renewals The proposal defines the service period, included visits or frequency, pricing model, and cancellation procedure. A seasonal or recurring schedule does not, by itself, authorize perpetual renewal. Automatic renewal, if offered, requires a separately disclosed renewal arrangement, appropriate consent, required reminders, and a lawful cancellation method. There is no automatic renewal created solely by these Terms. Per-visit billing charges for visits performed. A fixed installment plan follows its expressly agreed scope and billing basis; it is not represented as per-visit billing. Weather-related omissions, make-up visits, and seasonal adjustments should be addressed in the proposal rather than assumed. 11. Lawn mowing and routine landscape care Mowing, trimming, edging, and cleanup are limited to the items and areas in your scope. Bagging, removal of heavy debris, leaf cleanup, bed weeding, fertilizer, weed treatments, irrigation repair, and unusually overgrown conditions are separate unless expressly included. Growth, wet conditions, drought, obstacles, and the existing grade affect the appropriate timing and finish. We may recommend a schedule adjustment or defer a cut rather than proceed in unsuitable conditions. Extra work for overgrowth or repeated access problems requires an agreed rate or a change order. Routine mowing does not promise elimination of weeds, disease, bare areas, or preexisting drainage and grading problems. 12. Fertilizer, weed control, and lawn treatments Treatment service is limited to the areas, objectives, applications, and monitoring stated in the proposal. Product selection and application must comply with applicable labeling, licensing, and legal requirements. We may postpone or adjust an application when required by conditions, product instructions, or law. Required notices, application information, and lawn markers will be provided; these Terms do not replace them. Tell us about known sensitive plantings, gardens, water features, recent seeding, prior treatments, irrigation issues, and site-use restrictions. Follow the application-specific instructions supplied to you, including access restrictions, watering, mowing, and any restrictions for people and animals, and communicate them to people for whom you control access. Those instructions do not transfer the applicator’s legal duties to you. Lawn response depends on weather, existing turf and soil, cultural care, pest pressure, and conditions outside a treatment visit. Unless a written service guarantee expressly provides otherwise, we do not promise complete weed elimination, permanent control, or a particular color or result by a fixed date. Soil testing, aeration, seeding, disease management, insect control, and corrective work are included only when specified. Additional or repeat treatment is not automatically included unless the agreed plan provides it. 13. Snow and ice services The signed snow agreement and site plan must define covered areas, season dates, pricing basis, service triggers, measurement method, service priorities, response expectations, storage areas, and the respective duties for ice management and monitoring. Plowing does not automatically include sidewalks, salting, pretreatment, hauling, roof work, or return inspections. No universal accumulation trigger, dispatch deadline, or unlimited return service is created by these Terms. Ice treatment, freezing rain, melt and refreeze, drifting, municipal plow deposits, roof or downspout runoff, and snow moved by others must be addressed expressly in the snow scope. Continuous monitoring and post-storm visits exist only to the extent undertaken in that agreement or required by law. A stated trigger for plowing does not resolve responsibilities for ice; the snow plan must address them separately. Winter service reduces an identified hazard; it cannot ensure that every surface remains bare, dry, or slip-free at all times. Conditions can change between visits. The Customer must perform its assigned monitoring, reporting, access control, and property-maintenance duties, including reporting known drainage or refreeze issues and arranging care for excluded areas. This does not excuse Polaris from the work, inspections, or response duties it undertook or from liability that cannot lawfully be excluded. Before winter, disclose known damaged surfaces and vulnerable features, agree on stacking areas and obstructions, and make the site accessible as provided in the plan. Document any instruction declining recommended treatment or limiting access; additional work still requires the approval or preauthorization in the agreement. Report an incident or newly observed hazard promptly using the snow contact procedure. A general website inquiry is not an emergency dispatch system. Preexisting pavement defects, hidden objects, and surfaces incompatible with an agreed deicer may affect service. We do not assume responsibility for an existing defect simply by servicing the property, but no blanket waiver applies to damage caused by our legally actionable conduct. Snow and construction indemnity restrictions apply as described below. 14. Construction, hardscape, and landscape enhancements The proposal should identify plans, dimensions, materials, quantities or allowances, excavation and disposal assumptions, grading or drainage objectives, restoration areas, permits, and milestones. Designs, engineering, surveying, irrigation changes, utility relocation, unsuitable-soil correction, and work beyond the stated limits are excluded unless included expressly. Material substitutions require the approval process in the agreement. Natural materials and living plants vary in color, texture, size, and appearance. Samples and photographs indicate a general selection and do not promise an exact visual match unless the contract expressly requires one. Ordinary variations do not excuse a failure to meet the specified material or workmanship requirements. Equipment access, excavation, and staging may disturb designated areas. The agreed scope should identify protection and restoration work; restoration outside that scope requires a change order. Acceptance of an access route is not a release for negligent operation. Existing structures, soil movement, drainage conditions, neighboring work, and weather may affect performance beyond the agreed improvement. We do not guarantee resolution of a whole-property drainage or structural problem unless that obligation is expressly included. 15. Plants, establishment, and aftercare Polaris does not guarantee the survival, growth, establishment, flowering, or performance of living items—including trees, shrubs, perennials, annuals, sod, and seed—unless Polaris specifically agrees to a guarantee in writing before the applicable work. Any such written guarantee must identify the covered items, duration, care requirements, and remedy. No living-material guarantee is implied from an estimate, installation, or the availability of a maintenance service. This policy does not eliminate mandatory warranties or remedies, or responsibility for a failure to supply the agreed materials or properly perform the installation. Unless ongoing care is included, the Customer is responsible for following supplied aftercare instructions, including appropriate watering and protection from traffic, animals, and unrelated treatments. Notify us promptly of a concern while diagnosis and corrective action remain possible. To the extent a loss is caused by deficient aftercare, extreme weather, wildlife, pests outside the purchased service, vandalism, or alterations by others, that cause is outside any voluntarily offered warranty unless the written warranty says otherwise. This does not exclude a defect or loss attributable to a breach of our own obligations. 16. Workmanship, concerns, and correction Polaris will perform the agreed services with reasonable care and in accordance with applicable law and the written specifications. Report a claimed service deficiency or damage reasonably promptly, identify the location and circumstances, and provide available photographs or records. Permit a reasonable inspection and opportunity to correct work for which Polaris is responsible before commissioning avoidable replacement work at our expense. This process does not bar urgent protective work, extend an unsafe condition, shorten a statutory claim period, or waive rights merely because a concern was not reported within an arbitrary number of hours. Take reasonable steps to prevent additional loss and preserve relevant evidence when practicable. An additional express warranty exists only as stated in the accepted agreement or written warranty document. We make no additional promise of an uninterrupted, defect-free, or particular aesthetic or biological result beyond those obligations. Manufacturer warranties apply on their own terms and are not enlarged by Polaris. No disclaimer in these Terms eliminates a warranty or remedy that law makes nonwaivable. 17. Subcontractors Polaris may engage subcontractors for portions of the agreed work. That does not change the named contracting party or relieve Polaris of its own obligations to you. Subcontractors must hold licenses and other qualifications required for their assigned work; any additional insurance requirement belongs in the applicable written agreement. Direct scope changes and service concerns through Polaris. You may not increase our agreed obligations by separately instructing a subcontractor without our approval. Independently retained contractors are responsible for their own work; we will coordinate only to the extent included in our scope. Customer terms do not, by themselves, establish a subcontractor’s defense, insurance, or indemnity obligations to Polaris; those require a separate agreement with that subcontractor. 18. Responsibility for third-party claims To the extent permitted by applicable law, the Customer will indemnify Polaris for third-party loss, damages, and reasonable claim expenses only to the extent caused by the Customer’s negligent or wrongful acts, material breach, or the acts of persons for whom the Customer is legally responsible. This provision does not require payment for loss caused by Polaris, its employees, or subcontractors, and it does not impose a duty to defend Polaris against allegations of Polaris’s own wrongdoing. For snow and ice work, no indemnity, hold-harmless, or defense obligation may require either party to assume liability for the other party’s acts or omissions in violation of the Illinois Snow Removal Service Liability Limitation Act. For covered construction work, no provision requires indemnification for another party’s own negligence in violation of the Illinois Construction Contract Indemnification for Negligence Act. Allocation follows legally established responsibility, not the mere fact that a claim relates to the property or our work. The parties will provide reasonably prompt notice of a third-party claim and cooperate in preserving evidence and coordinating with applicable insurers. Neither party may settle a claim in a way that imposes an admission, payment, or continuing duty on the other without that party’s consent. Insurance obligations are governed by the applicable policy and any separately accepted insurance requirements. 19. Limits for ordinary contract losses To the extent enforceable, for an ordinary breach-of-contract claim seeking economic loss alone, Polaris’s aggregate liability relating to a particular project or recurring service will not exceed the fees paid or payable under the agreement for the affected project, or, for recurring service, the fees paid or payable for that service during the 12 months preceding the event giving rise to the claim. This allocation of economic risk is subject to the exceptions below. Subject to the same exceptions below, neither party is liable to the other for consequential, special, or indirect economic losses, including lost business opportunities or lost profits arising from an ordinary contract breach. This exclusion does not eliminate the Customer’s obligation to pay the contract price for services properly provided or other lawfully agreed amounts. These limitations do not apply to bodily injury or death; physical damage to property; fraud, willful misconduct, or gross negligence; nonwaivable statutory rights or remedies; or any liability that cannot lawfully be limited. They do not bind third parties, replace insurance, or enlarge an indemnity obligation prohibited by law. If a limitation is inapplicable, the relevant claim is governed by the remaining agreement and applicable law. 20. Records, communications, and privacy We may document relevant site conditions and work using service records, photographs, timestamps, and equipment-location records for scheduling, quality control, billing, and claim handling. Documentation should be limited to legitimate service needs and handled consistently with applicable law and our privacy information. Marketing use identifying a customer or private property requires separate permission rather than being assumed from this service agreement. Provide current contact details and designate a person authorized to approve changes for an organization or managed property. Written approvals and notices may use the channels stated in the proposal where permitted by law. Required statutory notices, service of legal process, and emergency reporting follow their applicable requirements; a general message does not substitute for them. Operational communication is not consent to unrelated marketing. 21. Disputes and governing law The parties should first notify each other in writing of a dispute and attempt a practical resolution with supporting records. This does not prevent timely use of small claims court, emergency relief, lien-preservation steps, insurance notice, a regulatory complaint, or another nonwaivable remedy, and it does not suspend legal deadlines unless the parties lawfully agree in writing. For work in Illinois, Illinois law governs except where controlling law provides otherwise. Subject to mandatory jurisdiction and venue rules, proceedings may be brought in a court of competent jurisdiction in the county where the serviced property is located, or the corresponding federal district. These Terms do not impose mandatory arbitration, a jury-trial waiver, or a class-action waiver. Any separately proposed dispute provision requires its own legally sufficient disclosure and agreement. 22. Remaining provisions and contact The accepted documents contain the agreement about the described services and replace prior proposals or discussions only on that subject. Nothing excludes liability for a misrepresentation or other claim that cannot lawfully be waived. A failure to enforce a provision once is not a continuing waiver. If a provision is unenforceable, it is severed only to the extent permitted by law, without rewriting an unlawful provision into a broader obligation. The remaining provisions continue when they can operate lawfully on their own. Questions about services or these Terms may be directed to Polaris at 312-818-5384. Written service notices may be sent through Jobber or mailed to Polaris Landscape Inc., 670 Vandustrial Dr, Westmont, Illinois. Statutory notices and legal process must follow their applicable requirements. These Terms are effective September 24, 2026, and apply when incorporated into an accepted service agreement as described above.
